Valuation and Business Modeling (also known as Financial Modeling) are highly recommended practices in the context of business activities and events such as accounting, taxation, financing, Initial Public Offer (IPO), issue of Employee Stock Options (ESOPs), Dispute Resolution, Mergers & Acquisitions (M&A), Litigation, Strategic Planning and other operational purposes.
Valuation is generally performed to determine the market value of a business including valuation of the tangible and intangible assets of the business. Tangible assets includes real estate, manufacturing and/or services equipment, stocks and product inventory, etc. The intangible assets includes intellectual property (e.g., trademarks, logos, patents, trade secrets, copyrights, market goodwill, etc.) Valuation is also performed during business transactions such as during Purchase Price Allocations (PPAs), investment, M & A activities, business restructuring, divestitures, divestments, etc. In such scenarios, the business value can be expressed in several terms such as liquidation value, standalone value, investment value, etc.
In addition to the valuations of businesses and associated transactions, business/financial modeling of the associated transactions are also performed to forecast the overall cost involved, potential returns and probability of success in a particular transaction. The business modeling can be performed using rudimentary software tools such as MS Excel or may deploy advanced custom developed software with a dashboard including important metrics and real-time Key Performance Indicators (KPI) tracking.
